Senior Counsel, Transactional - Parsippany, NJ
Description:
Wyndham Exchange and Rentals is seeking to fill the position of Senior Counsel, Transactional within the Global Legal Team. This is a generalist position supporting N. American and global operations. The ideal candidate is a team player, strong communicator and pragmatic business savvy advisor and has the desire and drive to work in a fast-paced, entrepreneurial environment.
Responsibilities:

Negotiate and draft a wide variety of commercial agreements, including affiliation agreements, service agreements, strategic alliance and M&A agreements, software/IT agreements, marketing and distribution agreements and consulting agreements

Review of B2B and B2C marketing materials, including websites, marketing campaigns, press releases and social media

Work in partnership with the company's operational areas, including, sales, marketing, business development, finance, tax, technology and human resources

Identify and resolve issues relating to new products and services and assigned compliance areas
Qualifications:

A minimum of 5 years legal experience (a mix of law firm and in-house experience is preferred, but not required)

Broad transactional skill set, including ability to draft commercial contracts, strategic alliances and M&A agreements with minimal guidance

Expertise (at least 3 years) with software/IT licensing and development arrangements, ASP/SAAS agreements and consulting/services agreements is required

Superior oral and written communication skills

Ability to work independently and in small teams

Excellent organizational skills and ability to set and manage competing priorities

Hospitality industry experience preferred (but not required)

JD with solid academic credentials
