Description:
The Prudential Law Department has an opening for a paralegal to provide support to the senior paralegal in the Law Department's International Investments section. This unit of the Law Department provides legal support and services to Prudential International Investments ("PII"). PII seeks out investment opportunities in select international markets that will help the company achieve its goal to be a worldwide leader in financial services. Since 2000, International Investments has made acquisitions and entered into a number of joint ventures in Asia, Europe and Latin America. PII's businesses in Brazil, China, Germany, India, Italy, Japan, Mexico and Taiwan offer local and offshore investment products and services to retail and institutional clients in their respective markets. Many of these businesses offer Prudential's Worldwide Investors Portfolio as a part of their offshore fund line up. Proprietary and third-party distribution networks are used to reach our target client base.
Responsibilities:
The duties of this position will include both long-term established tasks as well as short-term projects that arise from diverse requests for legal advice. The candidate must be willing to become familiar with mutual fund products, corporate governance procedures
While duties of this position will vary according to need, general responsibilities may include assistance with the following:
Manage corporate governance for International Investments Law Department, including:
Draft and manage corporate secretarial documents and supervise execution of these documents. Liaise with and advise Prudential's Secretary's Department
Review documentation to monitor compliance with corporate procedures and policies.
Organize and maintain corporate records (including minutes, consents and other corporate actions).
Manage legal aspects of liquidation and creation of U.S. and international entities. Coordinate with tax specialists, controllers, treasurers and vendors. Collaborate with in-house and local outside counsel.
Research questions on corporate matters.
Enter agreements into the Inter Legal Entity Agreement database for approval; follow approval process through to completion and agreement execution.
Preparation and planning of Board of Directors meetings, as needed
Coordinate various fund activities, including:
Deregister and register funds
Review fund documents for accuracy
Review proxies; obtain signatures and authentication
Draft amendments to agreements
Prepare and process regulatory filings with regulators on a global basis, including:
Prepare, process, track, and manage complex foreign filings on a timely basis, including the registration of funds in global jurisdictions and applications for approval to establish various entities, including banks and asset management companies
Manage information and documentation into foreign regulatory and all applicable databases
Review and analyze legal documents and forms for completeness and conformance to specific requirements set forth in applicable industry standards, Prudential guidelines and legal codes
Proactively collaborate with in-house attorneys, company managers, tax specialists, compliance officers, risk officers, treasurers, controllers, and outside counsel on select legal issues
Track progress of project and provide status reports to the International Investments Law Department and business unit
Manage other projects and processes for the Law Department, including:
Assist with business unit information gathering and analysis regarding enterprise-wide legal initiatives
Transfer electronic files to document management database and enable word searchable feature
Create, review and edit organization charts
Maintain central files and index
Apply Prudential Records Management policies
Qualifications:
A minimum of 1-2 years of experience as a paralegal or similar experience, preferably in a corporate environment
A college degree or paralegal certificate strongly preferred
Strong communication skills, both verbal and written, are necessary. A writing sample may be requested
Good analytical and writing skills are mandatory
Willingness and ability to learn and perform new tasks, as needed
Excellent interpersonal skills
Strong analytical, drafting and proofreading skills
Desire to learn new areas or subjects
Willingness to ask questions and to seek information needed to complete projects and tasks
Strong attention to detail, including the ability to work independently and to work on several projects simultaneously
Strong time management and project management skills
Ability to adhere to strict project deadlines while being flexible as necessary in response to changes and delays
Ability to work well with people at all levels of the organization, as well as people outside of the organization; including frequent interaction with senior managers and external fund directors in various countries
